1. Definitions

• "Service" refers to the ScrollCam cinematic scroll experience builder, website, proprietary software, rendering engines, compiler, and associated infrastructure provided by the Company.
• "User", "you", or "your" refers to any individual or entity accessing or using the Service, whether as a guest or a registered account holder.
• "Account" refers to the registered profile created by a User to access the Service.
• "Customer Content" refers to all images, videos, typography, text, and other raw media uploaded or inputted into the Service by the User.
• "Exported Output" refers to the final, compiled HTML/CSS/JS code, .psq files, and visual assets generated and downloaded through the Service.
• "Subscription" refers to the recurring or one-time payment plan granting access to premium features.
• "Pro License" refers to the specific Subscription tier that authorizes the generation, export, and commercial use of the Exported Output.

2. Legal & Corporate

2.1 Contracting Entity: The Service is exclusively operated and provided by www.scrollcam.com ("Company", "we", "us", or "our").

2.3 Governing Law & Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of India. The courts at Pune, Maharashtra, India shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or in connection with this Agreement.

2.4 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire and exclusive understanding and agreement between the Company and you regarding the Service, superseding any prior oral or written agreements.

2.5 Severability: If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

2.6 Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. The Company may freely assign or transfer these Terms without restriction in the event of a merger, acquisition, corporate restructuring, or sale of assets.

2.7 Waiver: The failure of the Company to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

3. User Accounts & Licensing

3.1 Age Requirement: You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an Account and use the Service.

3.2 Account Responsibilities: You are solely responsible for safeguarding the confidentiality of your account credentials and license keys. License keys are strictly tied to the registered User and may not be shared, resold, distributed, or transferred under any circumstances unless explicitly permitted by a specific enterprise agreement.

3.3 Account Termination & Suspension: We reserve the right to suspend or terminate your Account and access to the Service immediately, without prior notice or liability, for any reason, including instances of abuse, fraud, payment failures, or any breach of these Terms.

3.4 Post-Termination Data: Upon termination, your right to use the Service ceases immediately. Customer Content and projects associated with the Account will be scheduled for permanent deletion in accordance with our Privacy Policy. Exported Output previously downloaded to your local systems remains your property.

4. Acceptable Use Policy

You agree not to use the Service in any manner that violates applicable laws or these Terms. Specifically, you are strictly prohibited from:

• Reverse Engineering: Reverse engineering, decompiling, disassembling, or attempting to derive the source code, underlying algorithms, rendering engines, or internal infrastructure of the Service.
• Automated Access: Utilizing automated scraping, bots, crawlers, or spiders to access, extract, or index data from the Service.
• Circumvention: Attempting to bypass, disable, or circumvent any licensing verification mechanisms, security protocols, or paywalls.
• Malicious Code: Uploading or distributing malware, viruses, trojans, or any other code designed to disrupt, damage, or gain unauthorized access to our systems or those of our Users.
• Illegal & Harmful Content: Uploading content that is unlawful, defamatory, highly explicit, discriminatory, or intended to harass or abuse others.
• Intellectual Property Infringement: Uploading assets or fonts for which you do not hold the appropriate licensing, copyrights, or trademarks.
• Service Disruption: Engaging in denial-of-service (DoS) attacks or deliberately imposing an unreasonable load on our infrastructure.
• Unauthorized API Usage: Accessing the Company’s APIs without authorization or outside of documented, permitted usage limits.

5. Intellectual Property

5.1 Customer Content: You retain full ownership and all intellectual property rights to your exported Customer Content. You grant the Company a limited, non-exclusive, worldwide, royalty-free license to host, process, and render this content strictly for the purpose of operating and providing the Service to you.

5.2 Company Property: The Company retains all rights, title, and interest in and to the Service, including the editor, rendering engine, compiler, UI templates, structural components, built-in animations, and underlying software.

5.3 Exported Output: Upon exporting a project with a valid Pro License, you own or are perpetually licensed to use the compiled Exported Output generated through the Service for your personal or commercial projects in accordance with these Terms.

5.4 Asset Protection: To ensure additional protection of exported assets, users are encouraged to implement robust digital watermarking solutions (such as Digimarc or equivalent industry standards) prior to commercial distribution.

5.5 Feedback License: If you provide any feedback, feature requests, or suggestions to the Company, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without compensation to you.

6. Copyright Infringement & DMCA Policy

We respect the intellectual property rights of others. If you believe that content hosted on our Service infringes upon your copyright, please submit a written notification to legal@scrollcam.com including a detailed description of the copyrighted work, the exact location of the allegedly infringing material, and your contact information.

7. Payments & Billing

7.1 Subscription Lifecycle: Subscriptions automatically renew at the end of each billing cycle (monthly or annually) until explicitly cancelled. Subscriptions are handled by Freemius (“https://freemius.com”) which is a Merchant of Record (MoR) provider.

7.2 Cancellations: You may cancel your Subscription at any time through your Account settings or Customer Portal provided by Freemius. Cancellations take effect at the end of the current paid billing period; no prorated refunds are provided for mid-cycle cancellations.

7.3 Failed Payments: If a payment fails, your Account will not have an active subscription.  In case of a failed payment, you will an option to retry the payment.

7.4 Taxes: All listed fees are exclusive of applicable taxes. You are responsible for all value-added tax (VAT), goods and services tax (GST), or other regional sales taxes based on your billing jurisdiction, which will be calculated and applied at checkout.

7.5 Price Changes: We reserve the right to modify Subscription pricing. Active subscribers will be provided with advance written notice by email or account notification prior to any price increase affecting their renewal rate.

8. Service Availability & Modifications

8.1 Maintenance & Downtime: The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation. We schedule routine maintenance that may result in temporary service interruptions and expressly disclaim liability for any resulting downtime.

8.2 Feature Modifications: The Company reserves the right to dynamically modify, update, or discontinue features to maintain optimal performance and codebase efficiency. Any tools designated as "Beta" or "Experimental" are provided without warranties and may be modified or withdrawn without notice.

9. Limitation of Liability

9.1 Liability Cap: To the maximum extent permitted by law, the total cumulative liability of the Company for any claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to the Company during the thirty (30) days immediately preceding the event giving rise to the claim. Under no circumstances whatsoever will we or our affiliates, partners, officers, directors, employees, shareholders, agents, licensors, subcontracts and suppliers, be responsible or liable to you or to any other entity even if advised of the possibility of such damages under any legal theory, whether contract, tort or otherwise for any direct, compensatory, indirect, incidental, consequential including without limitation any lost income, data or other tangible or intangible losses, special, exemplary, or punitive damages that result from or relate in any manner whatsoever to your use of the services, or to any errors, inaccuracies, omissions, defects, security breaches, or any other failure to perform made by us.

9.2 User Responsibility for Exports: Once an Exported Output is downloaded from the Service, it becomes your sole responsibility. The Company entirely excludes liability for the hosting, deployment, subsequent modification, performance, or third-party integrations of your Exported Output.

10. Compliance & AI

10.1 Export Control: You agree to comply with all applicable export control and sanctions laws.

10.2 Third-Party Components: The Service may utilize open-source or third-party software components. These are governed by their respective licenses, which do not override these Terms regarding your use of the overall Service.

10.3 Generative AI Features: If utilizing the Service's generative AI tools to create AI-assisted content, layouts, animations, media, or code, you acknowledge that AI-generated outputs are algorithmic and may occasionally produce unexpected results. You are strictly required to manually review, verify, and approve all AI-generated outputs prior to commercial publication or export.

11. Refunds
We encourage you to explore and evaluate our product and Pro version editor using the free access without signing up or logging in. If you're not satisfied with your purchase, simply contact us within 7 days of your purchase, and we'll issue a full refund.
